STANDARD TERMS & CONDITIONS

Performance of work by Essence

A client can enter into discussion with Essence over the telephone, or by making contact via e-mail or through the contact form.

Initial consultations with new clients are conducted over the telephone, via e-mail or in person (dependent on client’s location).

A written proposal will be provided to the client, based on their requests and requirements, detailing Essence’s planned work, fees, time-scales, delivery schedule, and requirements for meeting the client’s requests.

Pricing in the proposal will be subject to change if the client’s requirements change after the initial proposal, but before commencement of work. In which case, a new proposal will be provided. All proposals are valid for 30 days.

A written confirmation of quote acceptance, full instructions for the assignment and a 50% deposit is required before work commences. An invoice for the remaining balance is raised on completion and final delivery of the work, with payment due within 14 Days of invoice.

Client Obligations

On instructing Essence to undertake work, a 50% Deposit is required. Work commences when;

  • a) Deposit is received and has cleared for bespoke assignments
  • b) Written confirmation has been received from the client
  • c) Full instructions (confirmed in writing) are received from the client.

The Service and final product will be delivered in accordance with the Specification.

Payment of deposits and fees

Payment of deposits and fees can be made by cheque (made payable to 'Essence'), or by BACS payment (BACS details available on request). Full payment for items from The Word Store can be made online (most major credit cards accepted via PayPal).

Submission of Information

The client is required to provide all necessary information to enable Essence to carry out work as specified in the proposal.

Intellectual Property Rights

On receipt of full payment from the client on completion of work, intellectual property rights will pass from Essence to the client. However, Essence retains the right to use the product or service for advertising and promotion of Essence’ work unless otherwise stated in the proposal.

Essence retains the moral rights over any marketing material containing images, slogans and designs created by Essence (pertains to the integrity of the work and right to be named as the author/creator).

Amendments and Approvals

After receiving a first draft of the project, the client is entitled to two sets of amends without additional charge. Substantial rewrites or revisions based on changes made after the project has been agreed and the first draft completed may incur an additional fee.

Where material is sent to the client for proofing and approval, the client shall check it thoroughly and notify Essence in writing of any errors or reasonable alterations required within 7 days.

Essence reserves the right to charge extra if any alterations requested goes beyond the original specification of the proposal. A breakdown of these charges will be provided in the invoice.

If a response or approval is NOT received within 7 days, Essence shall deem the work to be acceptable and an invoice will be immediately raised and sent. Once the invoice is raised and sent, any amendments required will be subject to an additional charge.

IMPORTANT: If you know of, or anticipate a reason why you may be unavailable during the 7-day approval window (vacations, business trips etc), please advise this before work commences, in order that this can be taken into consideration.

On accepting completed work, the client assumes full responsibility for the accuracy of the final proof.

Delivery

Work will be delivered by a date stated in the original agreement between Essence and the Client, unless expressly stated during work. Work is delivered by email via an attachment.

Cancellation

Cancellations of projects after work has already commenced will require payment of 75% of the quoted fee for the project by the client.

Termination

Either party may terminate the agreement in writing within 14 days, if there has been an identifiable breach of the Contract, or in the event that either party winds up, dissolves, is declared insolvent, goes into liquidation or receivership, or ceases to trade.

In the event that the client chooses to terminate the agreement due to a change in their own plans, not relating to Essence, Essence shall be entitled to keep the Deposit and payment for work done up to the time of termination.

Liability

Essence accepts liability for faults/errors made in providing and delivering the services. However, Essence shall not be held liable with regards to any failure, delay, confusion or misrepresentation experienced in the delivery of goods or services, or in the reproduction by third parties that is caused by the supply of inaccurate, false or unsuitable material by the client. Neither can it be held responsible for any losses to the client caused by the misuse of the finished material.

Essence cannot be held responsible for any loss, theft or damage to client’s data or information, during transit to or from the Essence premises.

Privacy Policy

Essence will not sell, share or provide any client details provided over the phone, in person, by post, by e-mail or by e-contact form to any third parties. However, please remember that e-mail and e-contact forms are not always secure against interception, so please communicate sensitive information by phone or by post.

Changes and Updates to Terms & Conditions

Essence reserves the right to change these Terms and Conditions without prior notice. The client is deemed to have been received notice of changes to these terms where they have been posted to http://www.essence-services.co.uk.
